Terms of service
The agreement between NyotaSkul and the schools and people who use our website and platform.
Last updated 25 October 2026.
1. About these terms
These terms are an agreement between NyotaSkul ("NyotaSkul", "we", "us") and you. They apply to the NyotaSkul website at www.nyotaskul.com and to the NyotaSkul platform, including each school's workspace and the Nyota assistant.
A school accepts these terms when it registers, signs an order form, or starts using the platform. Each person who uses the platform accepts them when they first sign in. If you don't agree, please don't use NyotaSkul. Before you accept, you can read, save or print these terms, and correct any mistake in the details you give us.
Our privacy policy and our data processing terms form part of these terms. If a school has signed a separate written agreement with us, that agreement takes priority where it differs from these terms.
2. Definitions
- School: the school, institution or organisation that registers for NyotaSkul, including its owner or proprietor.
- Workspace: the school's own area of the platform, at its own address, such as yourschool.nyotaskul.com.
- User: anyone the school gives access to, such as head teachers, teachers, office and finance staff, and parents or guardians.
- School data: all information the school or its users put into the workspace, including personal data about learners, parents, guardians and staff.
- Plan: the package of features a school subscribes to, such as Starter, Teach or Whole School.
3. Using our website
You may use our website to learn about NyotaSkul, contact us and find your school. Information on the website is general. Features marked "Coming soon" or "On the roadmap" are plans, not promises. Sample schemes of work and lesson plans on the website use made-up content and are not taken from KICD curriculum designs.
4. School accounts
- The person who registers a school confirms that they have authority to accept these terms on the school's behalf.
- The school must give accurate registration details and keep them up to date.
- The school controls who has access to its workspace and what each user can do, and must remove access promptly when someone leaves the school.
- Each school's workspace address must not be misleading or infringe anyone else's rights. We may refuse or change an address that does.
5. The school's responsibilities
The school is the data controller for school data under the Data Protection Act, 2019. The school is responsible for:
- having a lawful basis for the personal data it puts into NyotaSkul, including the consent of a parent or guardian where section 33 of the Act requires it for a child's data;
- giving learners' parents and guardians, and its staff, its own privacy notice that explains its use of NyotaSkul, as the ODPC's guidance for the education sector requires;
- registering with the Office of the Data Protection Commissioner where the law requires it;
- entering only the data it needs, keeping it accurate, and deleting it when it is no longer needed;
- having a lawful basis for any sensitive personal data it records, such as health information;
- the decisions it makes using NyotaSkul, including about learners' assessments, report cards and fees;
- paying the fees for its plan on time.
6. Users' responsibilities
- Keep your password private and don't share your account. You are responsible for what happens in your account unless it was misused without your fault.
- Tell your school and us straight away at support@nyotaskul.com if you think your account has been misused.
- Use school data only for your role at the school, and keep it confidential.
7. Acceptable use
You must not use NyotaSkul to:
- access, or try to access, any workspace, account or data you are not authorised to use, or test, probe or bypass our security, all of which may be offences under the Computer Misuse and Cybercrimes Act, 2018;
- upload malware, or interfere with or overload the service;
- copy, scrape, resell or reverse-engineer the platform, except as the law allows;
- upload content that is unlawful, defamatory, harmful to children, or infringes anyone's intellectual property or privacy;
- harass anyone, or send messages to parents or others without a lawful basis;
- break any law of Kenya.
We may remove content or suspend access that breaks this section, as described in section 15.
8. Plans, pilot and fees
- Plans and prices: fees are set out in the school's quote, order form or invoice, in Kenya shillings unless agreed otherwise. Before a school commits to a paid plan, we tell it all the fees and charges that will apply. VAT and other taxes are added where the law requires, and we issue tax invoices as the law requires.
- Billing period: plans are billed per term or per year, in advance, unless agreed otherwise. Invoices are payable within 14 days.
- Learner numbers: where fees depend on the number of learners, we use the number of active learners in the workspace at the start of each billing period.
- Renewal: plans renew for the same period unless the school tells us in writing at least 30 days before the end of the period that it does not want to renew. We will remind the school before renewal.
- Price changes: we will give at least 60 days' written notice of a price change, which applies from the next billing period. The school may choose not to renew.
- Late payment: if an invoice is more than 30 days overdue, we may limit the workspace to read-only access after giving 14 days' written notice. We will not delete school data because of late payment without further notice.
- Pilot and founding schools: pilot access, founding-school prices and free trials are on the terms we agree in writing with the school. Pilot features may change as we develop them.
- Refunds: if we end a school's plan without the school being at fault, we refund fees paid for the unused part of the billing period. Otherwise, fees already paid are not refundable, except where the law requires.
9. Your content and our property
- School data belongs to the school. The school gives us permission to host, copy, process and display school data only as needed to provide, secure and support the service, and as described in our data processing terms.
- Exporting: the school can export its data during its subscription and for 60 days after it ends.
- Our property: the NyotaSkul software, design, name, star logo, documentation and the Nyota assistant belong to us or our licensors and are protected by the Copyright Act and other laws. We give the school a non-exclusive, non-transferable right for its users to use the platform during its subscription.
- Feedback: if you send us ideas or suggestions, we may use them to improve NyotaSkul without owing you anything.
- Aggregated information: we may use anonymised, aggregated information that does not identify any school or person to run and improve the service.
10. Curriculum materials
Curriculum designs published by the Kenya Institute of Curriculum Development (KICD) are KICD's copyright. A school that uploads a curriculum design, course book extract or other third-party material confirms it is entitled to use it for its own teaching. NyotaSkul is not endorsed by, or affiliated with, KICD, TSC, KNEC or the Ministry of Education. Schemes of work and lesson plans prepared in NyotaSkul are for the school's own use.
11. Nyota AI
- Nyota prepares drafts, such as lesson plans, and helps read curriculum designs. Drafts may contain mistakes or omissions.
- Nothing Nyota drafts is saved until a user reviews and confirms it. The user and the school are responsible for checking drafts before using them in class, in records or in decisions about learners.
- Content a user confirms becomes part of the school data and belongs to the school.
- Fair use applies to Nyota. If a school's use is far above normal planning use, we will talk with the school before applying any limit.
- How Nyota handles personal data is explained in section 8 of our privacy policy.
12. Data protection
We process school data as the school's data processor, only on its instructions, under our data processing terms, which meet the requirements of section 42 of the Data Protection Act, 2019. Our own use of personal data is explained in our privacy policy.
13. Availability and support
- We work to keep NyotaSkul available at all times, but we don't guarantee it will be uninterrupted or error-free. Unless a school's written agreement includes a service level, the service is provided without one.
- We plan maintenance outside school hours where possible, and give notice of planned downtime that may affect schools.
- Support is available by WhatsApp, phone and email during school hours, Monday to Friday, excluding public holidays.
- We keep regular backups of school data, but schools should export important records periodically, especially at the end of each term.
14. Changes to the service and these terms
- We improve NyotaSkul regularly. We will not remove a core feature of a school's plan during a paid billing period without agreeing it with the school or giving a fair reduction in fees.
- We may update these terms. We will tell schools about material changes by email or in the platform at least 30 days before they take effect. If a school doesn't accept a change, it can end its plan before the change takes effect and receive a refund for the unused part of the billing period.
15. Suspension and termination
- By the school: a school can stop renewing as described in section 8, or end its plan at any time by writing to us. Fees already paid are not refundable except as section 8 or the law provides.
- By us: we may suspend or end access if a school or user seriously breaks these terms, fails to pay after notice, or uses NyotaSkul unlawfully, or where needed to protect the security of the service or other schools. Except in an emergency or where the law requires, we will give notice and a reasonable chance to fix the problem first.
- After termination: the school can export its data for 60 days. We then delete school data within a further 30 days, as set out in our privacy policy, unless the law requires us to keep it.
- Sections that by their nature should continue after termination, such as those on fees owed, data protection, liability and disputes, continue.
16. Warranties
We will provide NyotaSkul with reasonable care and skill, and in line with its description at the time the school subscribes. Apart from that, and from the rights you have under law, including the Consumer Protection Act, 2012, NyotaSkul is provided "as is". We don't promise that it will meet every need of every school, or that drafts prepared by Nyota will be free of errors.
17. Limits of liability
- Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or any other liability that Kenyan law does not allow to be limited, and nothing limits rights you have as a consumer that cannot be excluded by agreement.
- Subject to that, neither party is liable to the other for indirect or consequential loss, or for loss of profit, revenue or goodwill, arising from these terms.
- Subject to that, our total liability to a school in any 12-month period is limited to the fees the school paid us for that period. For services provided free of charge, our liability is limited to KES 10,000.
- We are not responsible for decisions a school or its users make using NyotaSkul, or for content a user confirms without checking.
18. Indemnity
A school will compensate us for reasonable losses and costs we incur because of a claim by a third party that arises from the school putting data or content into NyotaSkul without a lawful basis or in breach of someone's rights, provided we tell the school promptly about the claim and let it take part in handling it.
19. Events beyond our control
Neither party is responsible for failing to perform these terms because of events beyond its reasonable control, such as power or internet outages, failures of third-party networks, natural disasters, civil unrest or government action. The affected party will tell the other and do what it reasonably can to limit the effect.
20. Complaints and disputes
- Tell us: please raise any complaint with us first at admin@nyotaskul.com. We will acknowledge it within 2 working days and aim to resolve it within 14 days.
- Negotiation: if it isn't resolved, senior representatives of each party will meet, in person or online, to try to settle it within 30 days.
- Mediation: if negotiation fails, either party may refer the dispute to mediation in Nairobi under the rules of the Nairobi Centre for International Arbitration, or another mediator both parties agree.
- Arbitration or court: a dispute between NyotaSkul and a school that is not settled by mediation within 60 days will be decided by a sole arbitrator in Nairobi under the Arbitration Act, 1995, unless both parties agree to go to court. Either party may ask a court for urgent interim relief at any time.
If you are a consumer, nothing in this section affects your right to go to the courts of Kenya, including the Small Claims Court, or to complain to the Competition Authority of Kenya or the Office of the Data Protection Commissioner.
21. Governing law
These terms are governed by the laws of Kenya, including the Data Protection Act, 2019, the Consumer Protection Act, 2012, the Computer Misuse and Cybercrimes Act, 2018, the Kenya Information and Communications Act, the Copyright Act and the Children Act, 2022. Subject to section 20, the courts of Kenya have jurisdiction.
22. General
- Electronic agreement: these terms may be accepted, and notices given, electronically, which is valid under Kenyan law.
- Notices: we send notices to the school's registered email address. Schools send notices to admin@nyotaskul.com.
- Transfer: a school may not transfer its rights under these terms without our written agreement. We may transfer ours to a successor to our business, who must honour these terms.
- Severability: if a court finds part of these terms invalid, the rest still applies.
- No waiver: if we don't enforce a right straight away, we can still enforce it later.
- Language: these terms are in English. If they are translated, the English version applies.
